These Affiliate Program Terms & Conditions (βAgreementβ) govern participation in the Thoolie affiliate program (the βProgramβ) operated by Thoolie, LLC (βThoolie,β βwe,β βus,β or βourβ).
By submitting an application to, or participating in, the Program, you (βAffiliate,β βyou,β or βyourβ) agree to be bound by this Agreement.
1. Enrollment & Approval
Participation in the Program is by application and manual approval only.
Thoolie reserves the sole and absolute discretion to approve, reject, suspend, or terminate any affiliate application or account at any time, for any reason or no reason, with or without notice.
No affiliate relationship exists unless and until Thoolie expressly approves an application.
2. Independent Contractor Relationship
Affiliate is an independent contractor and not an employee, agent, partner, joint venturer, or representative of Thoolie.
Affiliate has no authority to bind Thoolie, enter into agreements on Thoolieβs behalf, or make representations, warranties, guarantees, legal interpretations, or legal advice regarding Thoolie products or services.
3. Affiliate Links & Tracking
Upon approval, Affiliate may be issued unique tracking links (βAffiliate Linksβ).
Commissions are tracked solely through Thoolieβs affiliate tracking system. Thoolie is not responsible for tracking failures caused by browser settings, ad blockers, cookie restrictions, user behavior, device switching, or third-party interference.
Thoolie does not provide manual commission attribution, retroactive tracking, or alternative compensation for transactions not properly tracked through the affiliate system.
Thoolie shall have no liability for commissions not recorded due to technical failures, tracking interruptions, browser restrictions, system errors, or third-party interference.
4. Eligible Products & Commission Scope
Affiliate commissions apply only to Thoolie membership plans expressly designated as commissionable within the affiliate portal (βEligible Productsβ).
Excluded Products
The following are expressly excluded from the Affiliate Program and are not commissionable under any circumstances:
- Thoolie Creator Contracts
- Automated or logic-based contract tools
- Custom legal agreements
- Any products or services offered through systems hosted outside the primary Thoolie WordPress platform, including web.thoolie.com
Affiliate acknowledges that Thoolie operates multiple platforms and technical systems, and that transactions processed outside the affiliate-enabled platform are not eligible for commissions, regardless of referral source.
Self-Referrals Prohibited
Affiliate may not refer itself, create multiple accounts, or receive commissions on purchases made by Affiliate or any entity under Affiliateβs control, unless expressly authorized in writing by Thoolie.
5. Commission Hold Period & Payment
All commissions are subject to a minimum fifteen (15) day holding period following the applicable transaction date.
Commissions are not considered earned, payable, or vested until:
- the holding period has fully elapsed, and
- Thoolie has approved the commission for release.
Thoolie reserves the right to withhold, delay, or reverse commissions associated with refunds, disputes, fraud, abuse, policy violations, or technical irregularities.
Commission rates, payout thresholds, and payment schedules are determined by Thoolie and may be modified at any time.
6. Prohibited Conduct
Affiliate may not:
- misrepresent Thoolie or its products or services;
- claim to provide legal advice, legal services, or attorney-client relationships;
- describe Thoolie products as guaranteed, court-approved, or risk-free;
- impersonate Thoolie, its team, or its attorneys;
- use Thoolie trademarks or branding in paid advertising without written permission;
- bid on Thoolie-branded keywords or confusingly similar terms;
- offer unauthorized discounts, incentives, or bonuses;
- engage in deceptive, misleading, or unethical marketing practices;
- use Affiliate Links on coupon, rebate, or deal-aggregation websites without express approval.
7. Legal & FTC Compliance
Affiliate agrees to comply with all applicable laws and regulations, including FTC endorsement and disclosure requirements.
Affiliate must clearly and conspicuously disclose the affiliate relationship in all promotional content.
Failure to comply constitutes grounds for immediate termination and forfeiture of unpaid commissions.
8. Intellectual Property
All Thoolie trademarks, logos, content, contracts, templates, and materials remain the exclusive property of Thoolie.
Affiliate is granted a limited, revocable, non-exclusive license to use approved materials solely for participation in the Program. All rights immediately terminate upon termination of this Agreement.
9. Confidentiality
Affiliate may receive confidential or non-public information regarding Thoolie operations, systems, or offerings.
Affiliate agrees to maintain confidentiality and to use such information solely for participation in the Program. This obligation survives termination.
10. Termination
Thoolie may terminate Affiliateβs participation at any time, with or without cause or notice.
Upon termination:
- Affiliate Links will be disabled;
- Affiliate must immediately cease all use of Thoolie intellectual property;
- unpaid commissions may be forfeited if earned in violation of this Agreement.
11. Disclaimer & Limitation of Liability
Thoolie makes no guarantees regarding revenue, conversions, or commission volume.
To the maximum extent permitted by law, Thoolie shall not be liable for indirect, incidental, special, or consequential damages. Thoolieβs total liability shall not exceed the commissions paid to Affiliate during the six (6) months preceding the claim.
12. Indemnification
Affiliate agrees to indemnify and hold harmless Thoolie from any claims, damages, losses, or expenses arising from Affiliateβs marketing activities, representations, or violations of this Agreement.
13. Additional Terms of Use
Affiliateβs access to and use of Thoolieβs website(s), affiliate portal, and related systems are also subject to Thoolieβs general Terms & Conditions / Terms of Use, as may be updated from time to time.
In the event of a conflict between these Affiliate Program Terms & Conditions and Thoolieβs general Terms & Conditions, these Affiliate Program Terms & Conditions shall control solely with respect to Affiliate participation in the Program.
14. Governing Law
This Agreement is governed by the laws of the State of California, without regard to conflict-of-law rules. Any disputes shall be brought exclusively in California courts.
15. Modifications
Thoolie may update this Agreement at any time. Continued participation in the Program constitutes acceptance of any revised terms.
16. Electronic Acceptance
This Agreement constitutes an electronic contract. By submitting an affiliate application, accessing the affiliate portal, or participating in the Program, Affiliate acknowledges and agrees that such actions constitute an electronic signature with the same legal force and effect as a handwritten signature.
